Terms of Service

1. Acceptance of Terms

By accessing or using ClauseForClarity ("Service"), operated by ClauseForClarity LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ClauseForClarity is an automated software tool that extracts and analyzes clause data from severance agreements uploaded by users. The Service uses artificial intelligence to identify clause types, generate plain-English summaries, and provide anonymized peer comparisons. The Service is provided for informational and educational purposes only.

3. Not Legal Advice

ClauseForClarity is not a law firm, does not employ attorneys, and does not provide legal advice. The analysis, summaries, comparisons, and flags generated by the Service are produced by automated software and are for informational purposes only. Nothing provided by the Service constitutes legal advice or creates an attorney-client relationship. You should consult a qualified employment attorney in your jurisdiction before making any decisions regarding your severance agreement.

4. User Accounts

You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

5. Document Upload and Processing

When you upload a document to the Service, the document is processed in temporary server memory by an automated AI extraction system. No human at ClauseForClarity reads, reviews, or has access to your uploaded document at any point. The original document is discarded from memory immediately after extraction completes and is never written to persistent storage. Only structured, de-identified clause data is retained.

6. Confidentiality Considerations

You are solely responsible for determining whether uploading your severance agreement to an automated software tool is consistent with any confidentiality obligations in your agreement. We provide an informational acknowledgment screen before upload, but we do not and cannot make legal determinations about your specific confidentiality clause. 7. Peer Comparison Database

By submitting your clause data, you agree to contribute anonymized, structured clause data to our peer comparison database. This data is stripped of personally identifying information and is used only to generate aggregate statistical comparisons. No user can view another user's individual submission. Comparisons are only displayed when the relevant peer group contains five or more submissions.

8. Payments and Refunds

Certain features of the Service ("Clarity Pro") require a one-time payment processed through Stripe. All payments are final. We may offer refunds at our sole discretion within 30 days of purchase if the Service did not perform as described. To request a refund, contact support@clauseforclarity.com.

9. Accuracy and Limitations

The AI extraction and analysis may contain errors, omissions, or misinterpretations. Clause summaries are generated by automated language models and may not capture every nuance of your agreement. Peer comparisons are based on user-submitted data and may not represent a statistically complete picture of the market. You are responsible for reviewing all extracted data for accuracy before relying on it.

10. Prohibited Uses

You may not use the Service to upload documents you do not have the legal right to possess, attempt to extract other users' data, reverse-engineer the Service, use automated tools to scrape or access the Service, or use the Service for any unlawful purpose. We reserve the right to terminate accounts that violate these terms.

11. Intellectual Property

All content, design, code, and functionality of the Service is owned by ClauseForClarity LLC. You retain all rights to your uploaded documents and personal data. By using the Service, you grant us a limited, non-exclusive license to process your uploaded document solely for the purpose of providing the Service to you, and to retain anonymized clause data as described in these terms.

12. Limitation of Liability

To the maximum extent permitted by law, ClauseForClarity LLC, its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages arising from reliance on AI-generated analysis, decisions made based on peer comparisons, or any alleged breach of a confidentiality obligation. Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ClauseForClarity LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your breach of any confidentiality obligation in your severance agreement.

14. Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated via the email address associated with your account. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.

15. Governing Law

These terms are governed by the laws of the State of Texas without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Texas.
